Job Description
PLEASE DO NOT APPLY IF YOU HAVE NO SWISS LAW DEGREE AND WORK EXPERIENCE WITH SWISS LAW.
The Legal Counsel will need to execute on short and long term legal strategies under the direction of the Head of Legal. In particular, the Legal Counsel will be responsible for group compliance with laws in a specific number of jurisdictions, lead on legal projects, and provide or coordinate advisory services on behalf of CPS.
Key responsibilities will include:
- Prepare and negotiate commercial agreements (including IT contracts, consultancy agreements, partnership agreements, vendor terms and conditions) and support our grant making teams in preparing and negotiating partnership agreements with grant partners and co-funders;
- Co-design and oversee the implementation of a group-wide process for incoming and outgoing KYC/AML requests, including tooling to process incoming requests (with support from our paralegal);
- Advise management and functional owners on Swiss law queries whether relating to Swiss labour law, privacy, regulatory requirements or other legal areas;
- Design a vendor management process for legal advisors / outside counsel including budgetary controls and manage outside counsel to advise on areas of expertise including regulatory requirements;
- Act as dedicated company secretary services for our Swiss (charitable) entities and internal governance bodies;
- Prepare filings with the Swiss EDI and other supervisory authorities and draft correspondence;
- Monitor developments in laws and regulations impacting Swiss foundations and investment funds;
- Develop training on relevant Swiss legislative & regulatory developments and compliance requirements
Qualifications
- Seasoned professional with a Master degree in Swiss law and at least five years of working experience in an international environment.
- You are a solution driven team player. You have seen a lot of different companies and developed strong skills in general corporate law & contracting, with solid experience in drafting agreements.
- You understand basic labour law and privacy principles and/or are wiling to develop those skills further.
- You have strong communication skills and a self-starting mentality.
- You have a proven commitment to promote respect for human dignity, social justice, and the development of a sustainable business environment.
